1. Acceptance of these Terms

Welcome to JohnnyHQ.

These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, software, artificial intelligence services, APIs, and other products and services operated by Johnny Labs, LLC, doing business as JohnnyHQ ("JohnnyHQ," "Johnny," "Company," "we," "our," or "us").

These Terms constitute a legally binding agreement between you and Johnny Labs, LLC.

By accessing, browsing, creating an Account, downloading, installing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, Accessibility Statement, and any additional terms or policies that apply to specific features of the Services (collectively, the "Agreement").

If you do not agree to these Terms, you must immediately discontinue use of the Services.

If you are using the Services on behalf of a company, organization, partnership, governmental entity, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, the terms "you" and "your" refer to both you and that entity.

JohnnyHQ is an artificial intelligence-powered property decision platform designed to help homeowners, landlords, property managers, real estate professionals, investors, and other property stakeholders make more informed property decisions.

The Services may include, among other things:

contractor discovery;
contractor comparisons;
Johnny Trust Check;
Johnny Pro Check;
estimate analysis;
project planning;
maintenance planning;
educational content;
product recommendations;
property organization;
document analysis;
artificial intelligence tools;
and other software, features, or services made available by JohnnyHQ.

JohnnyHQ is not a licensed contractor, construction manager, engineering firm, architecture firm, law firm, insurance company, inspection company, real estate brokerage, financial advisor, or other licensed professional service provider.

The Services are intended solely to provide informational tools designed to assist Users in making more informed decisions.

Nothing available through JohnnyHQ should be interpreted as replacing independent judgment or qualified professional advice.

4. Eligibility

The Services are intended only for individuals who:

are at least eighteen (18) years of age or the age of legal majority in their jurisdiction;
have the legal capacity to enter into binding agreements; and
comply with all applicable laws while using the Services.

By using JohnnyHQ, you represent and warrant that you satisfy these eligibility requirements.

JohnnyHQ reserves the right to suspend, restrict, or terminate access to the Services if we reasonably believe these requirements are not satisfied.

5. Description of the Services

JohnnyHQ provides software tools designed to assist Users in making more informed property-related decisions.

The Services may include, without limitation:

Ask Johnny AI;
contractor discovery and comparison tools;
Johnny Trust Check;
Johnny Pro Check;
estimate generation and analysis;
project planning and organization;
maintenance planning;
educational resources;
product recommendations;
property record management;
document analysis;
artificial intelligence-powered workflows;
mobile applications;
web applications;
APIs;
subscriptions;
and other products or services that JohnnyHQ may introduce from time to time.

The Services are intended solely for informational, organizational, planning, and decision-support purposes.

JohnnyHQ may modify, improve, suspend, discontinue, or replace any feature or portion of the Services at any time, with or without notice, except where prohibited by applicable law.

Nothing in these Terms guarantees the continued availability of any specific feature, functionality, integration, or service.

6. Artificial Intelligence Services

Artificial intelligence is a core component of JohnnyHQ.

The Services may utilize proprietary and third-party artificial intelligence models, machine learning systems, automation technologies, and other computational tools to generate responses, analyze information, summarize documents, compare estimates, organize property information, generate recommendations, and assist Users in making property-related decisions.

AI-generated outputs are produced algorithmically and may:

contain inaccuracies;
be incomplete;
become outdated;
differ between substantially similar prompts;
change as underlying AI models evolve; or
omit information relevant to a particular circumstance.

JohnnyHQ does not guarantee the accuracy, completeness, reliability, suitability, or fitness of AI-generated outputs for any particular purpose.

Users remain solely responsible for independently evaluating AI-generated information before relying upon it.

The AI Services are intended to supplement—not replace—the independent judgment of Users and qualified professionals.

7. User Accounts

Certain features of the Services may be accessed without creating an Account, while other features require registration.

When creating an Account, you agree to:

provide accurate, current, and complete information;
maintain the accuracy of your information;
protect your login credentials;
promptly notify JohnnyHQ of any unauthorized access to your Account;
and accept responsibility for all activity occurring under your Account.

You may not:

create Accounts using false identities;
impersonate another person or organization;
transfer your Account without JohnnyHQ's written consent;
share your Account in violation of these Terms; or
attempt to circumvent Account restrictions imposed by JohnnyHQ.

JohnnyHQ reserves the right to suspend, restrict, or terminate Accounts that violate these Terms or otherwise present a risk to the Services, Users, or JohnnyHQ.

8. User Responsibilities

By using the Services, you agree to use JohnnyHQ responsibly and in accordance with these Terms and applicable law.

You are solely responsible for:

the accuracy of information you submit;
the documents you upload;
maintaining appropriate backups of your own records;
verifying contractor qualifications;
reviewing AI-generated outputs;
obtaining professional advice where appropriate;
complying with applicable laws;
maintaining the confidentiality of your Account credentials; and
all decisions you make based upon information provided through the Services.

You acknowledge that JohnnyHQ provides decision-support tools and informational resources only.

You remain solely responsible for:

selecting Contractors;
negotiating agreements;
obtaining permits;
complying with building codes;
managing Projects;
approving estimates;
making purchasing decisions;
ensuring work is completed properly; and
all property-related decisions and outcomes.

JohnnyHQ does not supervise Contractors, manage construction projects, guarantee project outcomes, or assume responsibility for decisions made by Users.

9. User Content

JohnnyHQ enables Users to submit, upload, transmit, store, organize, and share information through the Services ("User Content"). User Content may include, without limitation:

prompts submitted to AI Services;
photographs;
videos;
audio recordings;
Property Information;
Project Information;
estimates;
invoices;
contracts;
inspection reports;
engineering reports;
permits;
warranties;
maintenance records;
messages;
reviews;
ratings;
comments;
documents;
spreadsheets;
presentations;
and other materials submitted through the Services.

You retain ownership of your User Content.

Subject to these Terms, you grant JohnnyHQ a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, analyze, transmit, display, modify (solely for formatting, technical compatibility, security, or functionality), and otherwise use your User Content as reasonably necessary to:

provide the Services;
operate the Platform;
process AI requests;
generate requested outputs;
synchronize information across devices;
improve security;
detect fraud;
troubleshoot technical issues;
comply with legal obligations; and
otherwise fulfill the purposes described in our Privacy Policy.

Except as otherwise described in our Privacy Policy, JohnnyHQ does not claim ownership of your User Content.

You represent and warrant that:

you own or have all necessary rights to submit your User Content;
your User Content does not violate applicable law;
your User Content does not infringe the intellectual property or privacy rights of any third party;
your User Content does not contain malicious software or harmful code; and
you have obtained any permissions or consents necessary to upload information relating to other individuals or properties.

JohnnyHQ reserves the right, but not the obligation, to remove, restrict access to, or refuse User Content that we reasonably believe violates these Terms, applicable law, or the rights of others.

10. Contractor Information and Third-Party Data

JohnnyHQ aggregates, licenses, receives, or otherwise obtains certain information relating to Contractors, businesses, products, and services from Users, public records, government agencies, licensing authorities, commercial data providers, consumer review platforms, and other lawful sources.

Such information may include, without limitation:

licensing information;
business registration information;
public reviews;
ratings;
complaint history;
litigation records;
disciplinary actions;
years in business;
business locations;
service categories;
publicly available business information; and
other information relevant to evaluating Contractors.

JohnnyHQ may organize, summarize, compare, score, analyze, or present such information using proprietary methodologies, artificial intelligence, or other analytical tools.

JohnnyHQ does not warrant that any Contractor Information is complete, current, accurate, or suitable for a particular purpose.

Users remain solely responsible for independently verifying:

licensing;
insurance;
qualifications;
references;
permits;
pricing;
availability;
workmanship;
regulatory compliance; and
any other information material to a hiring decision.

11. Johnny Trust Check, Fit Score, and Johnny Pro Check

JohnnyHQ offers proprietary decision-support tools, including but not limited to Johnny Trust Check, Fit Score, and Johnny Pro Check (collectively, the "Decision Support Services").

These Services are designed to assist Users by organizing available information, identifying relevant considerations, and providing informational analyses regarding Contractors, Projects, products, and property-related decisions.

The Decision Support Services:

do not constitute professional advice;
do not constitute engineering advice;
do not constitute legal advice;
do not constitute financial advice;
do not constitute insurance advice;
do not constitute licensing verification;
do not constitute certifications;
do not constitute warranties;
do not constitute endorsements;
and do not guarantee future performance or project outcomes.

Fit Scores, Trust Checks, Pro Check reports, rankings, summaries, comparisons, recommendations, and similar outputs are generated using proprietary methodologies and available information at the time of generation.

Because information may change over time, these outputs should not be relied upon as the sole basis for hiring, purchasing, investing, or other property-related decisions.

JohnnyHQ reserves the right to modify, improve, suspend, or discontinue any Decision Support Service or any underlying methodology at any time.

12. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You shall not, directly or indirectly:

violate applicable law;
infringe the rights of another person or entity;
interfere with the operation of the Services;
attempt to gain unauthorized access to the Platform;
reverse engineer, decompile, or otherwise attempt to derive the source code of the Services except where expressly permitted by law;
circumvent security measures;
upload malicious software;
submit false or misleading information;
impersonate another person or organization;
create fraudulent Accounts;
use automated scripts, bots, spiders, crawlers, or scraping technologies without JohnnyHQ's prior written consent;
harvest or collect Personal Information from other Users;
interfere with AI systems or attempt to manipulate AI outputs through abusive or malicious activity;
use the Services to generate unlawful, defamatory, fraudulent, harassing, discriminatory, or harmful content;
use the Services to violate the intellectual property rights of others;
resell, sublicense, or commercially exploit the Services except as expressly authorized by JohnnyHQ; or
engage in any activity that could reasonably impair the security, availability, integrity, or performance of the Platform.

JohnnyHQ reserves the right to investigate suspected violations of these Terms and may suspend, restrict, or terminate access to the Services, remove User Content, or take any other action permitted by law where we reasonably believe a violation has occurred.

13. No Professional Relationship

JohnnyHQ is a software and artificial intelligence platform designed to provide informational tools that assist Users in making more informed property-related decisions.

Your use of the Services does not create, and shall not be interpreted as creating, any:

attorney-client relationship;
architect-client relationship;
engineer-client relationship;
contractor-client relationship;
inspector-client relationship;
consultant-client relationship;
fiduciary relationship;
agency relationship;
partnership;
joint venture;
employment relationship;
brokerage relationship;
advisory relationship; or
other professional relationship between you and JohnnyHQ, Johnny Labs, LLC, or any of its employees, contractors, affiliates, licensors, or service providers.

JohnnyHQ does not supervise construction projects, manage Contractors, negotiate contracts on behalf of Users, inspect completed work, guarantee regulatory compliance, or assume responsibility for decisions made by Users.

Nothing within the Services should be interpreted as creating a duty to act on your behalf or to place your interests above those of JohnnyHQ.

Users remain solely responsible for obtaining qualified professional advice where appropriate and for making all decisions relating to their property, Projects, Contractors, purchases, repairs, renovations, maintenance, financing, insurance, legal matters, and other property-related activities.

14. Third-Party Services, Content, and Integrations

The Services may include or integrate with third-party products, software, websites, applications, data providers, payment processors, artificial intelligence providers, mapping services, analytics providers, communication tools, affiliate partners, government databases, public records, or other third-party resources.

JohnnyHQ does not own or control these third-party services and is not responsible for:

their availability;
their accuracy;
their security;
their privacy practices;
their content;
their products or services;
their pricing;
their policies; or
any acts or omissions of such third parties.

Your use of third-party services is governed solely by the applicable terms and privacy policies of those third parties.

The inclusion of a third-party service, Contractor, product, website, integration, recommendation, or link within the Services does not constitute an endorsement, certification, warranty, guarantee, or recommendation by JohnnyHQ unless expressly stated otherwise.

JohnnyHQ may remove, replace, or discontinue integrations or third-party functionality at any time without liability.

15. Intellectual Property Rights

The Services, including all software, source code, object code, artificial intelligence systems, algorithms, databases, user interfaces, workflows, graphics, designs, text, compilations, documentation, trademarks, service marks, trade dress, logos, branding, proprietary methodologies, Fit Scores, Johnny Trust Check methodologies, Johnny Pro Check methodologies, and all other content made available by JohnnyHQ (collectively, the "JohnnyHQ Content"), are owned by or licensed to Johnny Labs, LLC and are protected by United States and international intellectual property laws.

Except for the limited rights expressly granted in these Terms, no ownership interest or license is transferred to you.

You may not:

copy;
reproduce;
modify;
distribute;
publicly display;
publicly perform;
reverse engineer;
decompile;
create derivative works from;
sell;
license;
sublicense;
scrape;
train artificial intelligence models using;
commercially exploit;
or otherwise use JohnnyHQ Content without JohnnyHQ's prior written consent.

All rights not expressly granted under these Terms are reserved by Johnny Labs, LLC.

16. Feedback

JohnnyHQ welcomes feedback, suggestions, feature requests, ideas, comments, bug reports, and other communications regarding the Services ("Feedback").

By submitting Feedback, you grant JohnnyHQ a perpetual, worldwide, irrevocable, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, distribute, publish, display, create derivative works from, and otherwise exploit such Feedback for any lawful purpose without restriction or compensation.

You represent and warrant that you have the right to provide such Feedback and that it does not infringe the rights of any third party.

JohnnyHQ has no obligation to implement any Feedback or maintain its confidentiality unless otherwise agreed in writing.

17. User Decision Responsibility

JohnnyHQ is designed to help Users make more informed and confident property decisions by organizing information, surfacing relevant considerations, providing AI-assisted analysis, and offering decision-support tools.

The Services are intended to assist—not replace—the independent judgment of Users.

JohnnyHQ does not make decisions on behalf of Users.

All decisions relating to property ownership, maintenance, repairs, renovations, contractor selection, budgeting, financing, insurance, legal matters, safety, permitting, code compliance, purchasing, project management, and any other property-related activity remain solely the responsibility of the User.

Users are responsible for independently evaluating all information available through the Services before making decisions or taking action.

Where appropriate, Users should consult qualified professionals, including licensed contractors, engineers, architects, attorneys, inspectors, accountants, insurance professionals, financial advisors, or other qualified experts.

Nothing contained within the Services shall be interpreted as directing, requiring, or recommending that a User take or refrain from taking any specific action.

The existence of a Fit Score, Johnny Trust Check, Johnny Pro Check report, AI-generated recommendation, contractor comparison, estimate analysis, maintenance recommendation, educational content, product suggestion, or other output should not be interpreted as a directive, guarantee, certification, endorsement, or recommendation that a User hire, retain, purchase from, contract with, or otherwise rely upon any particular person, product, service, or course of action.

Users acknowledge that:

every property is unique;
every Project presents different risks and circumstances;
Contractor qualifications and business conditions may change over time;
publicly available information may be incomplete or outdated;
AI-generated outputs may contain inaccuracies or omissions; and
important property decisions often require the consideration of facts that may not be available to JohnnyHQ.

Accordingly, Users agree that they are solely responsible for exercising independent judgment and determining whether additional investigation, professional advice, or due diligence is appropriate before making any property-related decision.

JohnnyHQ's mission is to help property owners make more informed and confident decisions. The Services are designed to support that mission by providing information, analysis, organization, and decision-support tools. The ultimate responsibility for every decision, action, and outcome remains solely with the User.

18. Disclaimers

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS JOHNNYHQ'S LEGAL OBLIGATIONS AND AFFECTS YOUR LEGAL RIGHTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

JOHNNY LABS, LLC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "JOHNNYHQ PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, JOHNNYHQ DISCLAIMS ALL WARRANTIES OF:

merchantability;
fitness for a particular purpose;
title;
non-infringement;
accuracy;
completeness;
reliability;
availability;
uninterrupted operation;
security;
compatibility;
quality;
and results obtained from use of the Services.

JohnnyHQ does not warrant that:

the Services will always be available;
the Services will operate without interruption;
the Services will be error-free;
defects will be corrected;
AI-generated outputs will be accurate;
Contractor Information will be complete or current;
recommendations will produce desired outcomes;
estimates will reflect actual project costs;
projects will remain within budget;
Contractors will perform satisfactorily;
products recommended through the Services will meet your needs; or
the Services will be free from viruses, malware, or other harmful components.

No oral or written information provided by JohnnyHQ or through the Services creates any warranty not expressly stated in these Terms.

Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the foregoing exclusions apply only to the maximum extent permitted by applicable law.

19. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS THE LIABILITY OF JOHNNYHQ AND AFFECTS YOUR LEGAL RIGHTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE JOHNNYHQ PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, INCLUDING, WITHOUT LIMITATION:

loss of profits;
loss of revenue;
loss of business opportunity;
loss of goodwill;
loss of anticipated savings;
loss of contracts;
loss of use;
loss of data;
corruption of data;
interruption of business;
system failure;
replacement costs;
property damage;
personal injury arising from the actions of third parties;
emotional distress; or
any other intangible losses,

WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF JOHNNYHQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, JohnnyHQ shall not be liable for:

decisions made by Users;
contractor performance;
contractor misconduct;
project delays;
project cost overruns;
code violations;
permitting issues;
construction defects;
property damage caused by third parties;
inaccurate estimates;
AI-generated outputs;
incomplete public records;
outdated Contractor Information;
third-party products or services;
or any action taken or not taken in reliance upon information provided through the Services.

To the maximum extent permitted by applicable law, the aggregate liability of the JohnnyHQ Parties for all claims arising out of or relating to the Services shall not exceed the greater of:

(a) One Hundred United States Dollars (US $100); or

(b) the total amount actually paid by you to JohnnyHQ during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the foregoing limitations shall apply only to the maximum extent permitted by applicable law.

This section shall survive termination of these Terms.

20. Indemnification

You agree to defend, indemnify, and hold harmless Johnny Labs, LLC, its affiliates, licensors, officers, directors, employees, contractors, agents, successors, assigns, and service providers (collectively, the "JohnnyHQ Parties") from and against any and all claims, demands, actions, liabilities, judgments, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

your use of the Services;
your User Content;
your violation of these Terms;
your violation of applicable law;
your infringement of the rights of another person or entity;
your interaction with Contractors or other Users;
your Projects;
your property-related decisions;
your reliance upon AI-generated outputs;
your misuse of the Services;
or any negligent, fraudulent, or intentional misconduct by you.

JohnnyHQ reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

You agree to cooperate fully with JohnnyHQ in the defense of such claims.

This section survives termination of these Terms.

21. Account Suspension and Termination

JohnnyHQ reserves the right, in its sole discretion and to the extent permitted by applicable law, to suspend, restrict, disable, or terminate your access to the Services at any time, with or without prior notice, if JohnnyHQ reasonably believes that:

you have violated these Terms;
your Account has been compromised;
your conduct presents a security risk;
your conduct presents legal or regulatory risk;
your conduct could harm JohnnyHQ, other Users, or third parties;
fraudulent activity has occurred;
payment obligations have not been satisfied;
or suspension or termination is otherwise necessary to protect the integrity, security, or operation of the Services.

JohnnyHQ may also discontinue all or part of the Services at any time.

Upon termination:

your right to use the Services immediately ends;
licenses granted under these Terms terminate, except where expressly stated otherwise;
JohnnyHQ may retain information as described in the Privacy Policy;
and provisions intended to survive termination shall remain in effect.

Termination shall not affect any rights or obligations that accrued before termination.

22. Survival

The following provisions shall survive the expiration or termination of these Terms to the extent necessary to give them full force and effect:

User Content;
Intellectual Property Rights;
Feedback;
User Decision Responsibility;
No Professional Relationship;
Disclaimers;
Limitation of Liability;
Indemnification;
Arbitration and Class Action Waiver;
Governing Law;
Privacy-related obligations;
and any other provision that by its nature should reasonably survive termination.

23. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the fullest extent permitted by applicable law, you and Johnny Labs, LLC agree to resolve disputes in accordance with this Section.

A. Informal Resolution

Before initiating arbitration or litigation, you and JohnnyHQ agree to make a good-faith effort to resolve any dispute informally.

If you have a dispute, you agree to first send written notice describing:

your name;
your contact information;
the nature of the dispute;
the relevant facts;
and the relief requested.

JohnnyHQ will likewise provide written notice if we initiate a dispute with you.

The parties agree to attempt to resolve the dispute through informal discussions for at least sixty (60) days before initiating arbitration or legal proceedings, unless immediate relief is necessary to prevent irreparable harm.

B. Binding Arbitration

If a dispute cannot be resolved through informal resolution, it shall be resolved by final and binding arbitration administered by a nationally recognized arbitration provider selected by JohnnyHQ, unless otherwise required by applicable law.

The arbitration shall be conducted before a single neutral arbitrator.

The arbitrator shall have exclusive authority to resolve any dispute relating to:

these Terms;
the Services;
your use of the Platform;
the enforceability of this arbitration provision;
and any claim arising from or relating to your relationship with JohnnyHQ.

The arbitrator may award any remedy available under applicable law, subject to the limitations contained in these Terms.

Judgment upon the arbitration award may be entered in any court having jurisdiction.

C. Class Action Waiver

To the maximum extent permitted by applicable law, all disputes shall be resolved solely on an individual basis.

You and JohnnyHQ each waive any right to:

participate in a class action;
serve as a class representative;
participate in a private attorney general action;
join claims with other individuals;
or seek relief on behalf of any other person or entity.

The arbitrator shall have no authority to consolidate claims involving multiple parties except where expressly required by applicable law.

D. Jury Trial Waiver

To the fullest extent permitted by applicable law, you and JohnnyHQ knowingly and voluntarily waive any right to a trial by jury for any dispute arising out of or relating to these Terms or the Services.

E. Exceptions

Nothing in this Section prevents either party from:

pursuing claims in small claims court where jurisdiction is proper;
seeking temporary, preliminary, or permanent injunctive relief to protect intellectual property rights;
seeking emergency equitable relief to prevent unauthorized access to the Services or misuse of confidential information; or
pursuing any claim that applicable law expressly prohibits from being submitted to arbitration.

F. Survival

This Section survives termination of these Terms and your use of the Services.

24. Governing Law

These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

The Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions contained in these Terms where applicable.

Subject to the arbitration provisions above, any legal proceeding that is not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of New York, and each party irrevocably submits to the jurisdiction and venue of those courts.

25. Changes to These Terms

JohnnyHQ may modify these Terms from time to time to reflect changes in:

applicable law;
technology;
artificial intelligence capabilities;
security practices;
business operations;
pricing;
subscriptions;
products;
Services; or
other operational requirements.

When material changes are made, JohnnyHQ will update the "Last Updated" date appearing at the beginning of these Terms.

Where required by applicable law, JohnnyHQ may also provide notice through the Services, by email, or by other reasonable means.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Services.

26. General Provisions

These Terms constitute the entire agreement between you and Johnny Labs, LLC regarding the Services and supersede all prior or contemporaneous agreements relating to the subject matter herein.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

JohnnyHQ's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

You may not assign or transfer your rights or obligations under these Terms without JohnnyHQ's prior written consent.

JohnnyHQ may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law.

Section headings are included for convenience only and do not affect interpretation.

The words "including," "include," and "includes" shall be interpreted to mean "including without limitation."

Nothing in these Terms creates any partnership, joint venture, agency, employment, fiduciary, or similar relationship between you and JohnnyHQ except as expressly stated.
